These Terms and Conditions govern your use of the Sejahtera Teras website and the engagement of our consulting services. By using our website or engaging our services, you agree to these terms. Please read them carefully.
1. Definitions
- "We / Us / Our" — Sejahtera Teras, a business consulting practice registered in Malaysia.
- "You / User / Client" — any person who accesses our website or engages our services.
- "Service" — any consulting arrangement offered by Sejahtera Teras, as described on our website.
- "Agreement" — these Terms and Conditions, together with any written engagement summary provided at the start of a service.
2. Acceptance of Terms
By accessing our website or submitting an enquiry, you confirm that you are at least 18 years of age and have the legal capacity to enter into an agreement. If you are representing a business, you confirm that you have authority to bind that business to these terms.
3. Service Description
Sejahtera Teras provides business consulting services for small business owners, including the Balance Review, Routine Wellbeing Review, and Sustained Companion programmes. Services are delivered in Kota Kinabalu, Sabah or remotely, as agreed in writing before commencement. Service availability may vary. We reserve the right to decline any engagement at our discretion.
4. User Responsibilities
You agree to:
- Provide accurate information when making enquiries or engaging our services
- Attend or reschedule sessions with reasonable notice (at least 24 hours where possible)
- Use our website only for lawful purposes and not in a way that harms others
- Not reproduce, distribute, or commercialise any written materials we produce without our prior written agreement
5. Intellectual Property
All content on this website — including written text, design elements, and session summaries — is the property of Sejahtera Teras. Session summaries provided to clients are for personal use in connection with the engagement only. General intellectual property shared during sessions (frameworks, models, general business concepts) remains our property unless otherwise agreed in writing.
6. Payment Terms
Our fees are stated in Malaysian Ringgit (RM) and are payable in full before or at the commencement of each service, unless a written instalment arrangement has been agreed. For the Sustained Companion twelve-month programme, a quarterly payment option may be available on request. We accept payment by bank transfer or such other methods as may be agreed. All fees are inclusive of applicable taxes unless stated otherwise.
7. Cancellation and Rescheduling
Sessions may be rescheduled with at least 24 hours notice at no additional cost. Where less notice is given, a rescheduling fee equivalent to 25% of the session cost may apply. Engagements may be ended by either party with reasonable written notice. For the Sustained Companion programme, a minimum of 30 days written notice is required to end the arrangement early. Fees paid for sessions already delivered are non-refundable; fees paid in advance for undelivered sessions will be returned on a pro-rata basis.
8. Disclaimers
Our services are provided in good faith and based on professional experience. However, consulting observations and suggestions do not constitute legal, financial, medical, or other regulated professional advice. We do not accept responsibility for business decisions made on the basis of our observations. Outcomes vary depending on individual circumstances and the choices made by the client.
9. Limitation of Liability
To the extent permitted by Malaysian law, Sejahtera Teras shall not be liable for any indirect, incidental, or consequential loss arising from engagement with our services or website. Our aggregate liability in connection with any engagement shall not exceed the total fees paid for that specific engagement.
10. Confidentiality
We treat all information shared during consulting sessions as confidential. We do not discuss client details with third parties without prior written consent, except where required by law. Clients are similarly asked to treat any proprietary materials or methods shared during sessions as confidential.
11. Termination
Either party may end an engagement by giving written notice as specified in the engagement summary. We reserve the right to end an engagement immediately in the event of material breach of these terms or conduct that is unreasonable or harmful. In the event of early termination by us without cause, any pre-paid fees for undelivered sessions will be returned in full.
12. Governing Law and Dispute Resolution
These terms are governed by the laws of Malaysia. Any disputes arising from or relating to these terms or any consulting engagement will first be addressed through informal discussion. If resolution cannot be reached informally, disputes shall be subject to the jurisdiction of the courts of Sabah, Malaysia.
13. Changes to These Terms
We may revise these terms from time to time. The revised version will be posted on this page with an updated date. Continued use of our website or services after a revision constitutes your acceptance of the updated terms. For active engagements, we will provide reasonable notice of any material changes.
